These Terms of Business ("Agreement") are between Hatch Talent Group, a company registered in England and Wales (“the Agency”) and the client named in the accompanying confirmation or instruction (“the Client”).
By engaging our recruitment services, the Client agrees to be bound by these Terms.
1. Definitions

Candidate: Any person introduced by the Agency to the Client for a permanent role.

Client: The person, firm, or company to whom the Candidate is introduced.

Engagement: The employment, hire, or use of a Candidate by the Client, whether under a contract of service or for services, or via an employment business or agency.

Introduction: The provision by the Agency to the Client of a Candidate’s CV or other information which identifies the Candidate.

Remuneration: The gross annual salary plus any guaranteed benefits, bonuses, allowances or commission agreed between the Candidate and the Client.
2. Fees
If the Client engages a Candidate introduced by the Agency within 12 months of the introduction, the Client agrees to pay a fee equal to:

20% of the Candidate’s first-year total gross remuneration package.

All fees are subject to VAT at the prevailing rate.
3. Payment Terms
Invoices are raised on the Candidate’s start date and are payable within 14 days of the invoice date.
Late payment may result in interest being charged at 4% above the Bank of England base rate.
4. Refund & Rebate Policy
If a Candidate leaves or is terminated (other than for redundancy) within [e.g., 12 weeks], the Agency will offer the following rebate:

Week 1–4: 75% refund

Week 5–8: 50% refund

Week 9–12: 25% refund
No refund is payable if:

The Client fails to pay the invoice within terms

The Client no longer requires a replacement

The Candidate is made redundant
-
The Client engages the Candidate again within 12 months
Alternatively, at the Agency’s discretion, a free replacement may be offered instead of a rebate.
5. Candidate Introductions
Introductions are confidential. If the Client passes on details of a Candidate to a third party, resulting in an Engagement, the Client shall be liable for the full fee as if they had engaged the Candidate directly.
6. Client Responsibilities
It is the Client’s responsibility to:

Ensure the suitability of the Candidate

Obtain references, right-to-work documentation, and conduct any required background checks

Comply with employment and equal opportunity laws
7. Liability
The Agency makes reasonable efforts to ensure the suitability of Candidates, but accepts no liability for any loss, damage, expense, or delay arising from the Candidate’s actions, omissions, or failure to meet the Client’s requirements.
Nothing in these terms excludes liability for death or personal injury caused by negligence.
8. Confidentiality
Both parties agree to keep all introductions and business-related information strictly confidential.
9. Termination
Either party may terminate this agreement in writing with 14 days’ notice. However, if a Candidate has already been introduced and subsequently engaged, the full fee remains payable.
10. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes will be subject to the exclusive jurisdiction of the English courts.
